Representation of small, middle market and large companies, as well as financial advisors, in connection with public and private acquisitions and dispositions, involving both stock and cash consideration and ranging in value from several million dollars to over $1.0 billion in total transaction value.

Private Equity. Representation of private equity funds and sponsor groups in connection with the acquisition and disposition of various portfolio companies and add-on acquisitions.

Reorganizations and Bankruptcies. Representation of debtors (sellers) and bidders (buyers) of assets in bankruptcy 363 asset sales and other distressed sale situations, ranging in transaction value from several million dollars to several hundred million dollars. Representation of debtors and creditors in workouts and reorganizations of complex capital structures in deals ranging from several million dollars to several hundred million dollars.

Corporate Finance. Representation of both corporate issuers and underwriters in connection with public and Regulation 144A/S offerings of equity, debt and derivative securities, including initial public, primary and secondary offerings, high-yield bond offerings and shelf registration and takedowns.

Formation and Emerging Growth. Representation of start-up ventures in connection with structuring, formation, angel rounds of investment and various first and subsequent rounds of preferred stock financing. Representation of emerging growth companies in various matters, including acquisitions and PIPE financing transactions.

Counseling and Board Advice. Providing corporate and general counseling advice to public and private companies and their boards of directors in connection with operational issues, significant corporate transactional matters, joint ventures and strategic alternatives, and various corporate governance matters.
